Terms of Service
Voltware Solutions Ltd
These Terms of Service ("Terms") govern access to and use of the software, platforms, and digital services provided by Voltware Solutions Ltd ("Voltware", "we", "us", "our"), including our website and any application, tool, or module made available to you under a licence (together, the "services"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Who These Terms Apply To
These Terms apply to any individual or organisation that accesses or uses our services, including users acting on behalf of a company or other organisation ("you", "your"). If you are accepting these Terms on behalf of an organisation, you confirm you have the authority to do so and "you" refers to that organisation.
2. Accounts and Access
- You must provide accurate information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly if you suspect unauthorised use of your account.
- We may suspend or restrict access to an account where we reasonably believe it is being used in breach of these Terms or poses a security risk.
3. Your Data
To provide our services, we need to store and process certain data you or your organisation submit to us, including account information, business or organisational data, and content you upload or generate while using our tools. By using our services, you consent to us storing and processing this data as reasonably necessary to operate, maintain, and support the services, and in accordance with our Privacy Policy and Cookie Policy, which form part of these Terms.
You confirm that you have the right to submit any data you provide to us, including personal data relating to your own staff or contacts, and that you have given any notices or obtained any consents necessary for us to lawfully process that data on your behalf.
4. Acceptable Use
When using our services, you must not:
- Use the services for any unlawful purpose or in a way that breaches any applicable law or regulation
- Attempt to gain unauthorised access to any account, system, or data
- Interfere with, disrupt, or place undue load on our services or infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of our software, except as permitted by law
- Upload or transmit any malicious code, or any content that is unlawful, infringing, or harmful
- Resell, sublicense, or provide access to the services to any third party without our prior written consent
5. Intellectual Property
We (or our licensors) own all intellectual property rights in our software, platforms, and services, including all underlying code, design, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the services for your own internal business purposes. You retain ownership of any data and content you submit to the services.
6. Fees and Licences
Access to certain tools or modules may require a paid licence. Where applicable, fees, billing terms, and licence scope will be set out separately (for example in an order form, invoice, or licence agreement). Unless stated otherwise, fees are non-refundable and licences are granted for the term agreed with you.
7. Availability and Support
We aim to keep our services available and performing reliably, but we do not guarantee uninterrupted or error-free operation. We may carry out planned maintenance, and may suspend access where reasonably necessary for security, legal, or operational reasons. We will aim to give reasonable notice of any planned downtime where practical.
8. Disclaimers
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, conditions, and representations not expressly set out in these Terms, whether implied by statute or otherwise, including as to satisfactory quality, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.
Subject to the above, we will not be liable for any indirect or consequential loss, or for any loss of profits, revenue, business, or data, arising out of or in connection with your use of the services. Our total liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, will not exceed the total fees paid by you for the services in the 12 months preceding the event giving rise to the claim.
10. Termination
We may suspend or terminate your access to the services if you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within a reasonable time of being asked to do so. You may stop using the services, or close your account, at any time. On termination, your right to access the services will end, though any terms which by their nature should survive (including data, liability, and governing law provisions) will continue to apply.
11. Changes to These Terms
We may update these Terms from time to time, for example to reflect changes to our services or to applicable law. Where changes are material, we will take reasonable steps to notify you. The "Last updated" date above will reflect the most recent revision, and continued use of the services after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any such dispute or claim.
